HB Book Centre – Terms & Conditions

1. General
These Terms and Conditions (“Terms”) apply to all sales, purchases, and related transactions with HB Book Centre Ltd., unless otherwise agreed in writing. By placing an order or submitting a purchase, you agree to these Terms.

2. Sales Terms
2.1 Pricing and Quotes
All prices are listed in Canadian dollars (CAD) unless otherwise stated. Quotes are valid for 30 days from the date issued unless extended in writing.
2.2 Orders
Orders may be placed in writing or electronically. Verbal orders are accepted but should be confirmed in writing to avoid errors.
2.3 Payment
Payment is due as stated on the invoice. Unless credit terms are approved, payment is due upon receipt. Accepted payment methods include e-transfer to orders@hbbookcentre.com, cheque, or other agreed methods.
Overdue accounts are subject to a 2% monthly finance charge (26.8% per annum).
2.4 Delivery and Lead Times
Delivery dates are estimates only. HB Book Centre is not liable for delays caused by factors beyond its control, including supplier or shipping delays.
2.5 Returns and Refunds
All sales are final unless the product is defective or shipped in error. Return requests must be made within 7 days of receipt. Returned goods must be unused and in original condition.
Authorized returns may be subject to a restocking fee.
2.6 Title and Risk
Title passes to the customer upon full payment. Risk of loss or damage passes upon delivery to the carrier or customer, whichever occurs first.
3. Purchase Terms
3.1 Purchase Orders
All purchases by HB Book Centre require a valid purchase order number. Suppliers must reference the purchase order on all invoices and correspondence.
3.2 Delivery
Suppliers are responsible for ensuring that all goods and materials are delivered on time, in good condition, and meet agreed specifications. HB Book Centre reserves the right to inspect and reject goods that do not meet quality or delivery standards.
3.3 Pricing and Invoicing
Quoted prices must include all applicable charges unless otherwise specified. Invoices must match the purchase order in quantity, price, and terms.
Payment terms are as agreed in the purchase order; otherwise, net 30 days from the invoice date.
3.4 Non-Compliance
If goods or services do not conform to the purchase order, HB Book Centre may reject them, cancel the order, or request correction at the supplier’s expense.
4. Liability
HB Book Centre’s total liability for any claim shall not exceed the price of the goods or services supplied. HB Book Centre is not responsible for indirect, incidental, or consequential damages.
5. Privacy
Information collected during transactions is used solely for order processing, accounting, and communication purposes. HB Book Centre does not sell or share customer or supplier information.
6. Governing Law
These Terms are governed by the laws of the Province of Manitoba and the laws of Canada applicable therein.
